Proactive Paws® Wholesale Policy
Global – Applies to U.S., Canada, and International Wholesalers

This Wholesale Policy (“Policy”) governs all wholesale purchases from Proactive Paws® (“Proactive Paws,” “we,” “us,” or “our”).
It applies to all approved wholesale partners (“Wholesaler,” “you,” or “your”), regardless of country or region of operation.
By placing a wholesale order, the Wholesaler agrees to this Policy in full.
1. Wholesale Eligibility
Wholesale accounts are approved at the sole discretion of Proactive Paws. Valid business documentation is required to show that the customer is registered retailer from their region of operation. Acceptable documents include, but are not limited to a business license, reseller certificate, tax registration certificate, or any equivalent document issued by an authorized government office in your region of operation. Documents submitted should include an English translation if the original is in a different language.
Wholesale privileges may be suspended or revoked for non-compliance or if the submitted documents are expired.
2. Orders, Pricing & Payment
Wholesale pricing is confidential. Minimum order quantities are required. Please contact us for details.
Payment in full is required prior to shipment unless an alternative arrangement is confirmed in writing by both parties via email or signed contract.
All wholesale orders are final sales, meaning they cannot be returned or exchanged. This policy helps us maintain competitive pricing and ensure product quality for bulk purchases.
3. Fulfillment & Transfer of Responsibility
All wholesale orders are deemed fulfilled and the risk of loss or damage transfers to the buyer once the shipment departs from the Proactive Paws warehouse (FOB Shipping Point, meaning the buyer assumes responsibility as soon as goods leave our facility).
4. Shipping & Carrier Responsibility
The Wholesaler is responsible for all shipping costs, including carrier selection, freight forwarding, insurance, and delivery coordination.
Any shipping assistance by Proactive Paws is limited to administrative tasks such as providing shipping documentation (e.g., invoices, packing lists) and do not include arranging pickups. All logistical and financial responsibilities remain with the Wholesaler.
5. Customs, Importation & Regulatory Compliance
The Wholesaler is responsible for customs clearance, duties, all taxes, brokerage fees, and compliance with all applicable import and export regulations.
The Wholesaler should be the importer of record for all shipments entering the destination country.
6. Inspection & Claims
Shipments must be inspected immediately upon receipt.
Issues with incorrect, defective or missing items must be reported to our customer service team within 48 hours.
Shipping-related claims must be handled directly with the carrier. Please contact your carrier using the tracking number provided and follow their claim submission instructions.
7. Storage & Product Integrity
After shipment, the Wholesaler is responsible for proper storage (e.g. maintaining temperature requirements), careful handling to prevent damage, and accurate inventory management through regular stock audits.
8. Restricted Sales Channels & Marketplace Policy
Wholesale products may only be sold through channels directly owned and operated by Wholesaler (such as their official website or physical stores) and must not be listed on any online marketplace or platform where Proactive Paws’ products are also sold.
Resale is strictly prohibited on Amazon, Google Shopping, Facebook Marketplace, Instagram Shopping, TikTok Shop, or any platform where Proactive Paws maintains official listings, unless expressly authorized in writing.
Violations of this policy may result in account suspension, legal action, or other penalties deemed appropriate by Proactive Paws.
9. No Listing Piggybacking or Circumvention
Wholesalers may not add their products to existing Proactive Paws listings (“attach inventory”), create more than one listing for the same product (“duplicate listings”), or use related companies or accounts (“affiliated entities”) to bypass these rules.
10. Enforcement
Depending on the nature of the violation, consequences may include termination of wholesale privileges, cancellation of current orders, refusal of future supply, enforcement of actions on marketplaces, or pursuit of legal remedies.
11. Indemnification & Limitation of Liability
The Wholesaler agrees to indemnify and hold harmless Proactive Paws against all claims, damages, or expenses arising directly from the Wholesaler’s shipping, import compliance, or resale activities, except where such claims result from Proactive Paws’ own negligence.
Proactive Paws’ liability for any claim arising out of or relating to this agreement is limited to the wholesale purchase price prior to shipment and does not include liability for indirect or consequential damages.
12. Governing Law
Any disputes or claims arising out of or relating to this Agreement shall be governed by the laws of the State of Florida, USA for U.S. & International Wholesalers, and by the laws of the Province of Ontario, Canada for Canadian Wholesalers.
13. Policy Updates and Non-Compliance
Proactive Paws may update this Policy at any time by posting revisions on its website or notifying wholesalers via email. Continued participation constitutes acceptance of revisions. Proactive Paws may exercise its right not to accept the Wholesaler order for non-compliance of any sections in this policy.
